Sandra Familet shared thisWhat a great opportunity it was to speak on one of the terrific panels at the Ritossa Family Office Conference in Bal Harbour, FL in November. As a single family office, we very carefully choose the events that we will attend. And this one came well recommended by the people we respect. We were truly overwhelmed by the quality of attendees, speakers and content. We made new friends, deepened our existing relationships, and really look forward to attending the next one in Dubai, UAE this March. Many thanks to Anthony Ritossa and his team for including us!

For me, many of the skills I use today in my career were first learned at Joe & Pat’s Pizzeria on Staten Island — my very first job at 14 years old. I was a bus girl, cleaning tables, schlepping pizzas, answering phones, seating guests, and waitressing when needed. It was here that I learned what true client service means: making people feel welcome, cared for, and seen. It’s where I learned how to wear multiple hats, jump from task to task, and sell with confidence. Most importantly, it’s where I developed my enduring love and respect for food, kitchens, and the culinary arts. This pizzeria shaped me in my most formative years. It taught me the hustle, the joy of hospitality, and the value of hard work — lessons I still carry into every part of my professional life. And some things never change. Pictured here is Jerry, one of my first bosses. Still running the show, and looking like he hasn’t aged a bit. Sometimes, the best foundation for a career in wealth, events, and storytelling comes from the humblest beginnings — a slice at a time. 🍕

Sandra Familet liked thisSandra Familet liked thisThe decline of public companies isn’t just a Wall Street problem. It’s a local economic problem. When I was Vice Chairman of Nasdaq, there were more than 9,000 publicly listed companies in the U.S. Today, there are roughly 4,000. That decline has real consequences for competition, pricing, job creation, and long-term economic resilience in cities like Nashville. I shared my perspective with Nashville Business Journal on how Nashville’s startup ecosystem is progressing, where access to capital breaks down, and why functioning small-company IPO markets matter if we want to keep innovation local instead of exporting it. Nashville has momentum. But momentum alone isn’t enough. At a certain stage, companies need national markets and national access to capital or they leave to find it in places like Silicon Valley, New York or Boston. With intentional planning, smart market structure, and a focus on what Nashville can uniquely do well, the opportunity should be extraordinary. 📈 𝐃𝐞𝐚𝐥𝐒𝐜𝐚𝐩𝐞 | 𝘗𝘳𝘪𝘷𝘢𝘵𝘦 𝘔&𝘈 𝘎𝘰𝘦𝘴 𝘋𝘺𝘯𝘢𝘮𝘪𝘤 Earnouts, PPAs, and RWI are reshaping deal structure in 2025. → 𝘌𝘢𝘳𝘯𝘰𝘶𝘵𝘴 𝘢𝘳𝘦 𝘣𝘢𝘤𝘬. 22% of non-life-sciences deals in 2024 included earnouts. The shift toward revenue-based metrics (65% of earnouts) reflects a preference for cleaner, less manipulable measures. → 𝘗𝘶𝘳𝘤𝘩𝘢𝘴𝘦 𝘱𝘳𝘪𝘤𝘦 𝘢𝘥𝘫𝘶𝘴𝘵𝘮𝘦𝘯𝘵𝘴 𝘢𝘳𝘦 𝘴𝘵𝘢𝘯𝘥𝘢𝘳𝘥 𝘢𝘯𝘥 𝘣𝘦𝘤𝘰𝘮𝘪𝘯𝘨 𝘮𝘰𝘳𝘦 𝘯𝘶𝘢𝘯𝘤𝘦𝘥. 90%+ of private-target deals use post-closing adjustments, often with multiple metrics across cash, debt, and working capital. Separate PPA escrows appear in 75%+ of deals. → 𝘙𝘞𝘐 𝘳𝘦𝘴𝘩𝘢𝘱𝘦𝘴 𝘪𝘯𝘥𝘦𝘮𝘯𝘪𝘵𝘪𝘦𝘴. Reps & warranties insurance has reduced holdbacks (median 0.35% vs 10% without RWI) and shortened survival periods, moving risk from sellers to insurers. → 𝘌𝘢𝘳𝘯𝘰𝘶𝘵 𝘥𝘪𝘴𝘱𝘶𝘵𝘦𝘴 𝘢𝘳𝘦 𝘥𝘳𝘪𝘷𝘪𝘯𝘨 𝘥𝘳𝘢𝘧𝘵𝘪𝘯𝘨 𝘤𝘩𝘢𝘯𝘨𝘦. Delaware cases like Fortis Advisors are pushing dealmakers toward objective metrics and away from vague efforts language. ⁘ ⁘ Private-target M&A is becoming more contingent, data-driven, and layered. The goal remains maximizing value capture, and savvy sellers recognize that effectively navigating earnouts, PPAs, and RWI is an integral part of getting there. The sellers who understand these levers early can control the narrative, minimize post-closing friction, and secure stronger outcomes. ❯ We work with founders building differentiated, defensible businesses who want to explore strategic options while the market still rewards scale, efficiency, and execution quality. Estimate changes: Post 4Q25 result, we lower our 2026E-28E: (1) volume estimates by 5%-22%, on lower-than-expected management guidance for 2026E volume, and slower pace of facelift model launches (we expect 1 now vs. 3 before); (2) gross margin estimates by 0.4-1.0ppt on lower-than-expected 1Q26/2026 guidance, as well as lower volume/revenue generation; (3) as a result, lower net profit estimates by 21%-34%. We believe current valuation is fair as Li Auto is trading at 1.1x/0.9x 2026E/2027E P/S, vs. our covered pure NEV peers average at 1.0x/0.9x. We would turn more positive if there is an accelerated model cycle leading to higher sales volume, or if there is faster progress on the company's embodied AI efforts.
