In ERCOT, lower and middle-market retail energy providers have historically traded in the 4 to 5.5x EBITDA range. Structure matters more than size. A $15 million EBITDA platform with volatility-exposed earnings may imply roughly $60 to $80 million of enterprise value. The same earnings built on contract structures that clearly allocate risk and produce durable commercial margins can warrant materially higher valuations. The difference is not scale. It is how the earnings are constructed and how much unmanaged exposure sits beneath them. Fixed-price retail concentrates settlement risk at the retailer level and requires disciplined hedging and liquidity management. Alternative contract structures, including indexed products with defined adders or structured risk-sharing mechanisms, reshape the earnings profile. In those models, value shifts toward credit quality, contract architecture, and capital efficiency rather than directional price exposure. Retail valuation ultimately reflects how risk is allocated, how transparently it is priced, and how repeatable the resulting cash flow appears across cycles.
