  • AMIHAN signs Letter of Intent to list as Europe's first listed Real-World Assets platform Today, Ice Code Games S.A. (ICG:WSE), listed on NewConnect, Warsaw Stock Exchange, announced the signing of a non-binding Letter of Intent with AMIHAN Innovations Limited. Under the proposed transaction, ICG would acquire 100% of AMIHAN in exchange for newly issued ICG shares, to be subscribed for by AMIHAN's current shareholders and introduced to trading on NewConnect. Based on indicative valuations of USD 15M for AMIHAN and USD 10M for ICG, AMIHAN shareholders would hold approximately 60% of the combined company following completion. The parties announced that, following completion, the company would operate under the leadership of the AMIHAN team, and it is envisaged that AMIHAN Founder and CEO Robin H. Karlsen would assume the role of President of the Management Board and CEO of ICG. If completed, the transaction would reposition ICG as a publicly listed Real-World Assets company focused on land, real estate and RWA tokenization, the first listed vehicle of its kind in Europe. AMIHAN acquires titled land and real estate, owned directly and indirectly through direct ownership, subsidiaries and contractual arrangements, and makes ownership accessible to qualified investors through a compliant digital platform. The parties have agreed a three-month exclusivity period and intend to execute a detailed term sheet by 31 July 2026. The letter of intent is non-binding, and completion remains subject to due diligence, definitive documentation and regulatory approvals. A European public listing would give AMIHAN direct access to the public capital markets, strengthening our ability to acquire cash-flow-generating real assets and to scale a disciplined, asset-first RWA platform.     The Next Growth Markets Most investment opportunities disappear the moment they become obvious to everyone. To understand it, you need to look at how private markets have always worked. Traditionally, private equity is not defined by technology, but by structure. Access is controlled by networks where institutional players dominate, committing capital early and securing allocation before others even see the deal. Amihan introduces a different starting point. It is a tokenized land treasury that combines real-world land assets, digital exposure, and crypto reserves into a single onchain structure. Their focus on urban development in high-growth African markets addresses one of the most consequential challenges of our time: building the infrastructure and communities that rapidly urbanising populations need to prosper. Amihan holds direct equity participation in Africa123, and we will be actively contributing to their urban development strategy, execution and RWA product development and distribution – bringing the infrastructure of tokenisation to one of the world’s most complex real asset portfolios.     We’re excited to share a major upcoming milestone at AMIHAN. We will soon initiate construction on our private island resort - a high-end boutique destination featuring 12 villas, beautiful private beaches, world-class diving, and full-service hospitality. Most importantly: $LAND token holders will earn directly from resort yields, demonstrating our monetization strategy for real-world land assets and turning land into a productive, cash-flowing on-chain instrument.   • As highlighted in this chart from RWA.io, tokenized real estate AUM remains very small today, and is still largely driven by single-asset, crowdfunding-style structures. AMIHAN is building a tokenized land fund. Our view is simple: just as crowdfunding didn’t replace Blackstone or Brookfield, tokenization of single assets won’t be “the” solution on its own. The winners will be long-term, transparent asset management platforms that can scale, compound sutstainably over time. With tokenized real-world assets expected to become a multi-trillion-dollar category over the next decade, we believe this marks one of the biggest shifts in modern real estate asset management.
